1. Introduction and Acceptance of Terms
Welcome to Zendigicom Solutions Private Limited (“Zendigicom”, “we”, “us”, or “our”). These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Zendigicom, concerning your access to and use of our e-commerce marketplace platform. By accessing the site, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.
2. The Marketplace Model
Zendigicom operates a hybrid e-commerce platform. We sell home appliances, personal tech, smart kitchen equipment, and electronics directly, while also facilitating a marketplace for third-party vendors to list and sell their products.
- Direct Sales: For items sold directly by Zendigicom, we are the seller of record.
- Third-Party Vendors: For items listed by third-party sellers, Zendigicom acts as a venue and facilitator. The actual contract for sale is directly between you and the seller. We are not responsible for the quality, safety, or legality of items listed by third-party vendors.
3. Platform Infrastructure and Hosting
Our marketplace operates on a WordPress content management system and is hosted on secure cloud infrastructure. While we leverage cloud technology to provide a reliable and scalable shopping experience, we do not guarantee that the site will be available 100% of the time. We reserve the right to suspend, withdraw, or restrict the availability of all or any part of our platform for business, operational, or maintenance reasons without notice. We are not liable for any data loss, transaction failure, or disruption caused by cloud server outages, internet service provider failures, or cyber-attacks.
4. Account Registration and Security
To access certain features of the marketplace, including checking out and tracking orders, you may be required to register for an account.
- You agree to provide true, accurate, current, and complete information during registration.
- You are solely responsible for safeguarding your password and account credentials.
- You are liable for any activity conducted under your account, whether authorized by you or not.
5. Product Information, Pricing, and Availability
We strive for accuracy in all item descriptions, photographs, compatibility charts, and pricing. However, given the technical nature of electronics and smart appliances, errors may occur.
- We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice.
- We reserve the right to refuse or cancel any order placed for a product listed at the incorrect price, regardless of whether the order has been confirmed or your payment method charged. If your payment method has already been charged, we will issue a full refund.
- All products are subject to availability.
6. Orders, Payments, and Taxes
- Payments: We utilize secure, third-party payment gateways. We do not store or process your raw credit/debit card data or UPI credentials on our servers.
- Taxes: All prices displayed are subject to applicable Goods and Services Tax (GST) and any other local taxes, which will be calculated and displayed at checkout.
- Order Acceptance: Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell.
7. Intellectual Property Rights
Unless otherwise indicated, the platform is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (including the Zendigicom brand and logo) are owned or licensed to us, and are protected by copyright and trademark laws. You may not use our intellectual property without express written permission.
8. Warranties and Limitation of Liability
- Manufacturer Warranty: Electronics, personal tech, and smart appliances are generally covered by the original manufacturer’s warranty. Zendigicom disclaims all implied warranties of merchantability or fitness for a particular purpose.
- Limitation of Liability: In no event shall Zendigicom, its directors, employees, or third-party vendors be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages (including lost profit, lost data, property damage, or electrical damage) arising from your use of the site or the products purchased through it.
9. User-Generated Content and Reviews
You may be invited to chat, contribute to, or participate in blogs, message boards, or leave product reviews. Contributions must not be illegal, obscene, defamatory, threatening, infringing on intellectual property rights, or otherwise injurious to third parties. We reserve the right to monitor, edit, or remove user-generated content at our sole discretion.
10. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the marketplace, breach of these Terms, or any breach of your representations and warranties set forth in these Terms.
11. Force Majeure
Zendigicom shall not be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by an event beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, cloud hosting infrastructure failures, severe supply chain disruptions, or government actions.
12. Governing Law and Jurisdiction
These Terms and Conditions and your use of the Zendigicom platform are governed by and construed in accordance with the laws of India. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted solely in the state and federal courts located in Kerala, India, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
